Terms of Service

1. Acceptance of Terms

By accessing or using Formula and the services provided by AfterLight di Andrea Pastorelli (VAT: IT14609230967), based in Italy ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the service. You must be at least 16 years old to use the service.

2. Description of Service

Formula is a desktop data management application. The accompanying online service provides user authentication, account management, software licensing, payment processing, email communications, and a feedback/issue tracker. Your data files (.fml) are stored locally on your device and are not uploaded to our servers.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account. You agree to notify us immediately of any unauthorized use of your account. One account per person — creating multiple accounts to circumvent limits or restrictions is prohibited.

4. Software Licenses

Access to Formula features is governed by your software license:

• Free license: automatically assigned upon registration. Includes core features with limits: 3 tables, 30 rows per table, 1 chart and 1 summary per table, 3 history versions per file. All column types are included.
• Subscription license (Monthly/Yearly): unlocks all features with no limits. Subscriptions renew automatically at the end of each billing period. You may cancel at any time; access continues until the end of the current billing period.
• License codes: each license is identified by a unique code. License codes are personal and non-transferable.
• Grace period: if a subscription expires, there is a 5-day grace period before features are restricted. During this period, you may renew without losing access.

5. Desktop Software License

The Formula desktop application is licensed, not sold. By installing or using the application, you agree to the following:

• We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Formula desktop application on your personal devices, subject to the terms of your software license (Section 4).
• You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the application or any part of it.
• You may not reverse-engineer, decompile, disassemble, or attempt to extract the source code of the application, except where permitted by applicable law.
• The application may require an internet connection for authentication, license validation, and session enforcement. If your license is revoked or expires, the application will revert to Free mode with its associated limits.
• Updates to the application may be released from time to time. While we encourage you to keep the application updated, we do not guarantee backward compatibility with older versions.
• All intellectual property rights in the application remain with AfterLight di Andrea Pastorelli. This license does not transfer any ownership rights.

6. Session Enforcement

Each software license allows one active session at a time. If you attempt to log in from a different device while a session is active, the new login will be blocked. You must log out from the current device first. Sessions require periodic heartbeat signals; stale sessions are automatically cleaned up after inactivity.

7. Payments and Billing

All payments are processed by Lemon Squeezy, acting as Merchant of Record:

• Lemon Squeezy handles all payment processing, invoicing, tax collection, and refunds on our behalf. By making a purchase, you also agree to Lemon Squeezy's terms of service.
• Subscription prices are displayed on the pricing page and may include promotional discounts. Prices are in EUR and exclude VAT where applicable.
• Subscriptions renew automatically. You will be charged at the beginning of each billing cycle unless you cancel before the renewal date.
• Refunds are available within 7 days of license activation, subject to Lemon Squeezy's refund policy.
• You can manage your subscription, update payment methods, and access invoices through the Lemon Squeezy customer portal, accessible from your dashboard.

8. Right of Withdrawal

EU law (Directive 2011/83/EU) grants a 14-day withdrawal right for online purchases. For digital content delivered immediately, this right is waived at checkout when you consent to immediate access — this is handled by Lemon Squeezy as Merchant of Record, in accordance with Article 16(m) of the Directive. Regardless, we offer our own 7-day refund policy: if you are not satisfied, you can request a full refund within 7 days of license activation by contacting us at [email protected].

9. Legal Guarantee of Conformity

Under EU Digital Content Directive (2019/770/EU) and Italian Consumer Code (D.Lgs. 206/2005), the digital content and services we provide must conform to what is described in these terms and function as reasonably expected. If you experience a defect or lack of conformity, you are entitled to have it remedied free of charge. The legal guarantee applies for 2 years from delivery. To report a conformity issue, contact us at [email protected]. This guarantee applies in addition to, and does not replace, any other rights you may have under applicable law.

10. Acceptable Use

You agree not to misuse the service. This includes, but is not limited to: attempting to gain unauthorized access to the service or its systems, interfering with or disrupting the service, using the service for any unlawful purpose, attempting to reverse-engineer the software, circumventing license restrictions or session enforcement, or automated scraping or abuse of API endpoints.

11. Feedback and Issue Tracker

The built-in feedback system allows you to submit issues, comments, and votes:

• You are responsible for the content you submit. Do not post content that is illegal, abusive, harassing, or infringes on others' rights.
• Image attachments are limited to 3 per issue, 500KB each. Uploaded images are stored on our servers.
• Moderators and administrators may edit, move, or remove content that violates these rules. Repeated violations may result in restricted access to the feedback system.
• By submitting feedback, you grant us a non-exclusive, royalty-free license to use your submissions for product improvement purposes.

12. Intellectual Property

Formula, its logo, and all related materials are the intellectual property of AfterLight di Andrea Pastorelli. You retain full ownership of any data you create or manage using the application. We do not claim any rights over your data files.

13. Service Availability

We strive to keep the service available at all times, but we do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. The desktop application functions independently of the online service for local data operations.

14. Limitation of Liability

To the maximum extent permitted by law, AfterLight di Andrea Pastorelli shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or willful misconduct. Nothing in these terms overrides your mandatory rights as a consumer under EU and Italian law, including the legal guarantee of conformity (Section 9) and other protections provided by the Italian Consumer Code (D.Lgs. 206/2005).

15. Account Deletion and Termination

Your account may be terminated in the following ways:

• By you: you may delete your account at any time from your dashboard. Upon deletion, your personal data will be removed within 30 days. Active subscriptions should be cancelled before account deletion; we are not responsible for recurring charges on deleted accounts.
• By us: we may suspend or terminate your account for violation of these terms, abuse of the service, or non-payment. We will attempt to notify you before termination except in cases of serious violations.
• Upon termination, your local data files (.fml) remain on your device and are not affected. License and payment records are retained as required by law.

16. Email Communications

By creating an account, you agree to receive transactional emails related to your account (security alerts, license notifications, payment confirmations). Marketing communications (product updates) are optional and can be disabled at any time from your dashboard notification preferences.

17. Privacy

Your use of the service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. The Privacy Policy is incorporated into these terms by reference.

18. Changes to Terms

We may update these terms from time to time. We will notify users of significant changes via the website or application. Continued use of the service after changes constitutes acceptance of the updated terms. If you disagree with the changes, you may delete your account.

19. Governing Law and Disputes

These terms shall be governed by and construed in accordance with the laws of Italy. For any dispute, you may first contact us at [email protected] to seek an informal resolution. If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of Italy. If you are a consumer within the EU, you may also use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
